Terms of Service — MCP Services

These Terms of Service ("Terms") govern your access to and use of the MCP (Model Context Protocol) services hosted at mcp.lakesideai.dev, including the OpenAeroStruct, OpenConcept, and related analysis tool servers (collectively, the "Service"), operated by Lakeside AI Engineering, LLC ("Lakeside AI", "we", "us", "our").

By creating an account or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, do not create an account and do not use the Service.

1. Important summary

These Terms describe a free research preview. We want to be direct about three things up front:

• The Service has no warranty, no guaranteed uptime, and no SLA. It is a development preview only.
• Inputs you submit to the Service may be used by Lakeside AI for service development and improvement, including but not limited to debugging, testing, and refinement of tools and models. Do not submit confidential or proprietary data unless you have first arranged a separate confidentiality agreement with us (see Section 9).
• Outputs from the Service are not engineering certifications. They are analysis results that you, the user, are responsible for validating before relying on them for any real-world decision.

The detailed terms follow.

2. Definitions

"Account" means the credentialed identity created for you via our authentication system (Keycloak) to access the Service.

"Inputs" means any data, parameters, geometries, configurations, or other information you submit to the Service through MCP tool calls or otherwise.

"Outputs" means the results, analyses, visualizations, and other content returned to you by the Service in response to Inputs.

"User Content" means Inputs and Outputs collectively.

3. Eligibility and account creation

To create an Account, you must:

• Be at least 18 years of age and legally able to enter into binding agreements
• Provide accurate registration information
• Maintain the security of your credentials and not share them with others
• Use the Account only for yourself; one Account per person
• Be approved by Lakeside AI; we operate the Service by invitation and may decline or revoke access at our discretion

You are responsible for all activity that occurs under your Account. Notify us at privacy@lakesideai.dev immediately if you suspect unauthorized access.

4. Description of the Service

The Service provides programmatic access to aerospace and engineering analysis tools through the MCP protocol. The Service is provided as a research preview: it is offered free of charge, without warranty, without guaranteed availability, and without support obligations. We may modify, suspend, or discontinue any part of the Service at any time without notice.

The Service is not intended for, and must not be used as, a source of certified engineering analysis, safety-critical computation, or regulatory submission. Outputs are for research, education, exploration, and conceptual design only.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may:

• Submit Inputs for analysis using the provided tools
• Retrieve, store, and use Outputs for your own research, learning, or conceptual design work
• Cite the Service in academic or professional work, attributing Lakeside AI Engineering

6. Prohibited use

You may not, and may not permit others to:

• Submit data subject to export controls, including data controlled under the United States International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or equivalent national export control regimes
• Submit classified information, personally identifiable information of third parties, or data you do not have the right to submit
• Attempt to bypass authentication, access other users' data, reverse engineer the Service, or probe for security vulnerabilities without prior written authorization
• Use the Service for high-volume automated workloads, load testing, or scraping beyond what is reasonable for individual research use; ask us first if you need higher throughput
• Resell access, share credentials, or operate the Service on behalf of third parties as a hosted offering
• Use the Service in any manner that violates applicable law, including data protection, competition, or export control law
• Represent Outputs as certified, validated, or production-ready engineering results; you must independently validate any Output before relying on it
• Use Outputs to make safety-critical or life-critical decisions without independent verification by qualified professionals

We may suspend or terminate your Account immediately for violation of this section.

7. Intellectual property — the Service

Lakeside AI owns all rights, title, and interest in and to the Service, including the underlying software, infrastructure, tool implementations, documentation, branding, and any improvements derived from operating the Service. Nothing in these Terms transfers ownership of the Service to you.

The MCP protocol itself is an open specification; this clause applies to our specific implementation, infrastructure, and any proprietary tools.

8. User Content — your Inputs and Outputs

You retain ownership of your Inputs and the Outputs derived from them. Submitting Inputs to the Service does not transfer ownership to Lakeside AI.

However, by submitting Inputs to the Service, you grant Lakeside AI a non-exclusive, worldwide, royalty-free license to use, store, reproduce, modify, and create derivative works from your Inputs and Outputs for the purpose of operating and developing the Service. This license includes, without limitation:

• Executing tool calls and returning Outputs to you
• Storing provenance records (see Privacy Notice)
• Debugging, diagnosing, and resolving operational issues
• Improving the Service, its tools, and its underlying methods
• Testing and validating new features
• Internal research and development

This license persists for the duration of our retention of the relevant records (as described in the Privacy Notice) and survives termination of your Account to the extent necessary to operate and improve the Service.

This license does not permit us to:

• Publicly disclose your specific Inputs or Outputs in identifiable form
• Sell or transfer your Inputs to third parties as a standalone product
• Use your Inputs to train external third-party AI models without your separate written consent
• Disclose your identity as the source of specific Inputs without your separate written consent

Because of the breadth of this license, do not submit Inputs that are confidential, proprietary, trade-secret, or otherwise sensitive unless you have first arranged a separate confidentiality agreement with us under Section 9.

9. Confidentiality (by request)

The default posture of the Service does not include mutual confidentiality obligations. If you wish to submit confidential or proprietary Inputs, contact us at contact@lakesideai.dev before doing so to arrange a separate written confidentiality agreement. Until such an agreement is executed, Inputs submitted to the Service are governed solely by Section 8.

10. Privacy

Our handling of personal data is described in the Privacy Policy at lakesideai.dev/privacy/, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read the Privacy Policy.

11. No warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAKESIDE AI DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. ALL ENGINEERING DECISIONS BASED ON OUTPUTS REMAIN YOUR RESPONSIBILITY.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

LAKESIDE AI, ITS MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LAKESIDE AI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100).

This limitation applies regardless of the legal theory on which the claim is based. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Lakeside AI, its members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service
• Your Inputs, including any claim that your Inputs violated export controls, infringed third-party rights, or breached confidentiality obligations to third parties
• Your violation of these Terms
• Your reliance on Outputs without independent validation

14. Suspension and termination

By you: You may terminate your Account at any time by emailing privacy@lakesideai.dev or by deleting your Account through the authentication portal.

By us: We may suspend or terminate your Account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected abuse, security concerns, or discontinuation of the Service. We will use reasonable efforts to provide notice when feasible.

Effect of termination: Upon termination, your right to access the Service ceases immediately. Account data will be deleted within 30 days. Provenance records will be retained per the Privacy Notice (currently maximum 6 months from creation). Sections 7, 8, 11, 12, 13, 14, 16, and 17 survive termination.

15. Modifications

To the Service: We may modify, add, or remove features of the Service at any time.

To these Terms: We may modify these Terms by posting a revised version at lakesideai.dev/terms/ and updating the version and effective date at the top. For material changes, we will notify active Account holders by email at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your remedy is to discontinue use and terminate your Account.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or Switzerland, this clause does not deprive you of the protection of mandatory consumer law in your jurisdiction of residence, and you may also bring proceedings before the competent courts of your place of residence.

17. General

Entire agreement. These Terms, together with the Privacy Notice, constitute the entire agreement between you and Lakeside AI regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely.

Notices. We may provide notices to you by email to the address associated with your Account or by posting on the Service. You may provide notices to us at contact@lakesideai.dev.

No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
